Welcome to USA Convo! These Terms and Conditions (“Terms”) govern your use of the USA Convo website and services. By accessing or using USA Convo, you agree to follow these Terms. If you do not agree, please do not use our site or services.

1. Acceptance of Terms

By using USA Convo, you enter into a legal agreement with USA Convo (operated by Big Toga IT Solutions LLC, referred to as “we,” “us,” or “our”). You agree to comply with these Terms and all applicable laws. If you are using USA Convo on behalf of an organization, you are agreeing to these Terms for that organization as well. If you do not agree with these Terms, you should stop using our site and services.

2. Changes to These Terms

We may update or change these Terms at any time, at our discretion (sometimes without letting you know in advance). If we make important changes, we will update the “Last Updated” date at the top of this page and may notify users through our website or by email. It’s your responsibility to review these Terms periodically. By continuing to use USA Convo after changes are posted, you accept the updated Terms.

Similarly, we can change our Privacy Policy and any other agreements (such as membership terms for learners or tutors) at any time, with or without notice. If you continue to use USA Convo after those changes, it means you accept the updated policies and agreements as well.

3. Who Can Use Our Service

USA Convo is intended for users who are 13 years of age or older. If you are under 13, please do not use USA Convo. If you are between 13 and 18 (or the age of legal majority where you live), you should use USA Convo only with a parent or guardian’s permission. By using our site, you represent that you meet these age requirements and are legally able to agree to these Terms.

4. User Accounts

To access some features of USA Convo, you might need to create a user account. When creating an account, you agree to:

  • Provide accurate, current, and complete information about yourself.
  • Keep your login credentials (username and password) secure and confidential.
  • Not share your account with anyone else. You are responsible for all activities that occur under your account.

If you believe someone has accessed your account without permission, please notify us immediately through our contact page or support email. We are not liable for any loss or damage arising from unauthorized use of your account.

5. Allowed Uses of USA Convo

USA Convo provides content and tools to help you practice and improve your English through real-life conversations. We grant you a personal, non-transferable, and revocable license to use our website and content for your own educational and non-commercial purposes. This means you can watch our videos, read our materials, and participate in our sessions for yourself, but you cannot redistribute or sell our content.

6. Prohibited Activities

We want USA Convo to be safe, respectful, and useful for everyone. Whether you are a learner or a tutor (collectively referred to as “users”), you agree NOT to:

  • Break the law: Do not use USA Convo for any illegal activities or to encourage others to violate any laws or regulations.
  • Harass or harm others: Do not bully, harass, or discriminate against other users. Always communicate respectfully. Hate speech, threats, or any content that is abusive or offensive are strictly prohibited.
  • Post inappropriate or infringing content: Do not upload, share, or transmit any content that is obscene, pornographic, defamatory, or that infringes someone else’s rights (including copyright, privacy, or publicity rights). Only share content (like comments or messages) that you have the right to share.
  • Misrepresent yourself: Do not impersonate any person or organization, or misrepresent your identity or affiliation. Tutors should provide truthful information about their qualifications, and learners should provide truthful information in their profiles.
  • Interfere with our services: Do not attempt to disrupt or harm our platform. This includes no hacking, phishing, introducing viruses or malicious code, or attacking our technical infrastructure.
  • Spam or solicit: Do not send unsolicited advertising, promotions, or spam to other users. Tutors and learners should not solicit business outside of the USA Convo platform in a way that circumvents our services. In particular, users should not arrange tutoring sessions or payments outside of USA Convo without our permission, as this can be unsafe and violate our policies.

Violating any of these rules may result in your content being removed, your account being suspended or terminated, and if necessary, reporting to law enforcement. We reserve the right to enforce these rules by removing offending content or restricting access for users who violate them.

7. Content Ownership and Intellectual Property

Our Content: All materials on USA Convo – including videos, audio, text, graphics, logos, and software – are owned by us (Big Toga IT Solutions LLC) or used under proper licenses. These materials are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, redistribute, or create derivative works from our content without our express written permission. You’re welcome to use our lessons and materials for personal learning, but any commercial use (for example, selling our videos or posting them as your own) is not allowed.

Your Limited Right to Use: You have our permission to access and use the content on USA Convo for your personal, non-commercial use while you are a user of our site. This permission is a limited license – it doesn’t transfer ownership of any content to you. We can revoke this license if you violate these Terms.

8. User-Generated Content and Feedback

USA Convo may allow users to contribute content, such as posting comments, participating in group discussions, or uploading certain materials (for example, a profile photo or bio if you are a tutor). If you post or upload any content on USA Convo, you agree that:

  • You own or have the right to share that content. You will not post anything that you don’t have permission to use (for instance, don’t upload someone else’s work without consent).
  • You give us permission to use your content. By posting content, you grant USA Convo a worldwide, royalty-free license to use, display, reproduce, modify, and distribute your content on our platform. For example, if you leave a testimonial or comment, we may display it to other users. We will only use user content to operate, improve, or promote our services.
  • We can remove content: We have the right (but not the obligation) to review and remove any user content that we believe violates these Terms or is inappropriate. You understand that we are not responsible if you post something and later wish to remove it – we’ll do our best to accommodate removal requests, but content might remain in backups or archives even after deletion from the site.
  • Feedback: If you provide us with feedback or suggestions (for example, ideas to improve our lessons or website), you agree that we can use them without any restriction or compensation to you. We appreciate your ideas, but we aren’t obligated to implement them.

9. Payments and Purchases

Currently, many of our videos and group sessions are offered for free. If in the future USA Convo offers paid services or subscriptions (such as premium content, one-on-one tutoring sessions, or courses), the following will apply:

Pricing and Payment: All fees will be clearly stated. By making a purchase, you agree to pay the listed price and any applicable taxes or processing fees. Payments may be handled through a secure third-party payment processor. You must provide a valid payment method, and you authorize us or our payment processor to charge your payment method for the services you select.

Refunds: We will include details of any refund policy at the time of purchase. If a refund policy is provided, we will honor it as described. If no specific refund policy is stated, then all purchases are considered final and non-refundable to the extent permitted by law.

Tutor Payments: If you are a tutor providing services through USA Convo and we facilitate payments to you, you will receive payment as outlined in a separate tutor agreement or according to the platform’s payment procedures. You are responsible for any taxes on your earnings. We are not liable for payment issues arising from incorrect information you provide or issues with third-party payment systems.

No Circumvention: Learners and tutors should not arrange payments for services outside of the USA Convo platform for sessions or content originally offered through USA Convo. Doing so violates these Terms (see Prohibited Activities) and can result in removal from the platform. This rule is in place to ensure safety, proper tracking of sessions, and quality control.

10. Privacy

Your use of USA Convo is also governed by our Privacy Policy (which explains how we collect, use, and protect your personal information). We encourage you to read the Privacy Policy to understand how we handle your data. By using our service, you agree to the practices described in the Privacy Policy. Remember that any information you share in public areas (like group sessions or comments) can be seen by others, so please do not share personal sensitive information in those forums.

If you have questions about how we use your data, you can contact us as described in the Privacy Policy or through the contact information at the end of these Terms.

11. Interactions Between Users

USA Convo may connect learners and tutors through group sessions, one-on-one sessions, or other interactive features. We are committed to providing a positive and safe environment for these interactions, but we need your cooperation:

  • Respect and Professionalism: All users (both learners and tutors) should interact with courtesy and professionalism. Treat others as you would want to be treated. Inappropriate behavior can result in being removed from a session or banned from the platform (see Prohibited Activities for examples of unacceptable behavior).
  • No Guarantees of Tutor Qualifications: We may vet or interview tutors to ensure quality, but we do not guarantee any particular tutor’s qualifications, expertise, or suitability for your needs. Learners should use their own judgment when selecting or working with a tutor. If you have a concern about a tutor’s conduct or quality, please report it to us.
  • No Guarantees of Learning Outcomes: Every learner is different. While our tutors and materials aim to help you improve your English, we can’t guarantee specific results (such as passing a test or achieving fluency by a certain date). Your progress will depend on many factors, including your own effort and practice (see more in Disclaimers below).
  • Safety: For online sessions, stick to the scheduled platform or communication method provided by USA Convo. Do not ask for or share personal contact information (like personal phone numbers, email addresses, or social media accounts) with other users for off-platform contact, unless absolutely necessary and safe. This is to protect your privacy and security. If you decide to meet someone or communicate outside the platform (for example, an in-person meeting or an unofficial chat), you do so at your own risk – please exercise caution.

We are not responsible for interactions outside of our platform or control, but we encourage users to report any issues or misconduct that happen during USA Convo sessions or communications. We will attempt to mediate or take appropriate action if possible.

12. Disclaimers (No Warranty)

USA Convo is provided “as is” and “as available.” While we work hard to provide great content and a reliable platform, we make no guarantees or promises about our service. Specifically:

  • Educational Outcomes: We hope you will improve your English using USA Convo, but we do not guarantee any specific results or outcomes. For example, we can’t promise that you will achieve fluency, pass a certain exam, or gain a specific skill level. The lessons and tips we provide are for educational purposes, but success also depends on your effort and practice.
  • Service Availability: We strive to keep our website and sessions running smoothly, but we do not warrant that the service will be uninterrupted, error-free, or completely secure. Technical issues or maintenance may occasionally make the service unavailable.
  • Content Accuracy: We try to ensure all information (like lesson content, tips, or blog posts) is accurate and up-to-date. However, there may be mistakes or outdated information. Use your best judgment and understand that any reliance on our content is at your own risk.
  • Third-Party Content: Any links or content on our site that come from third parties (for example, a link to a YouTube video or an external resource) are not under our control. We include them for your convenience or reference, but we don’t endorse or assume responsibility for third-party websites or content. If you visit a third-party site or use a third-party resource, you do so at your own risk.

To the fullest extent allowed by law, we disclaim all warranties (express or implied) about USA Convo and its content. This includes implied warranties of merchantability (fitness for ordinary use), fitness for a particular purpose, and non-infringement. In plain language: we are providing a platform to help you learn, but we can’t promise it will always work perfectly or that it will meet all of your expectations.

13. Limitation of Liability

We are not liable for damages or losses related to your use of USA Convo. This is an important part of our agreement:

  • Types of damages: In no event will Big Toga IT Solutions LLC (or its owners, employees, partners, or tutors) be responsible for any indirect, incidental, special, consequential, or punitive damages. For example, we won’t be liable for loss of data, loss of profits, personal injuries, or emotional distress that might result from using our platform, participating in a session, or following advice from a tutor.
  • Amount of liability: To the extent we are found responsible for anything, our liability is limited to the amount you have paid us for services (if you haven’t paid anything, then our liability is limited to $0). Some laws might not allow complete limitation of liability, so in those cases we will be liable only to the smallest extent required by law.

User Disputes: Any disputes or issues you have with other users (including between learners and tutors) are primarily between you and that user. USA Convo is not responsible for the actions of any individual users. However, we do want a safe community, so let us know if a user is violating the rules, and we will review the situation.

Remember, using an online platform carries some risks. By using USA Convo, you accept that we cannot control and are not responsible for everything that might happen on or through our platform. If you are unhappy with USA Convo, your remedy is to stop using it.

14. Indemnification (If You Cause Us Loss)

You agree to indemnify and hold harmless USA Convo and Big Toga IT Solutions LLC (including our officers, employees, partners, and tutors) from any claims, losses, liabilities, expenses, or damages that arise out of your violation of these Terms or your misuse of our services.

In simpler terms, if your actions result in a legal claim against us or cost us money (for example, you post content you don’t have rights to and we get sued, or you misuse the platform in a way that causes damage), you agree to cover our costs and losses. This may include paying for our lawyers and any settlements or judgments. We will notify you of any such claim and cooperate reasonably in the defense, and we’ll let you take over handling it if you wish – as long as you conduct a reasonable defense. (We reserve the right to participate in the defense too, at our own expense, if we choose.)

15. Termination of Use

You are free to stop using USA Convo at any time. Likewise, we reserve the right to suspend or terminate your access if we believe you have violated these Terms or for any other lawful reason. For example, if a user is found harassing others or misusing content, we may deactivate their account. In severe cases, we might do so without prior notice.

If your account is terminated by us:

  • You will lose access to any parts of the service that require an account.
  • Any content you contributed may no longer be available (though copies may persist in backups or if others have shared it).
  • You remain responsible for any obligations incurred before termination (for example, if you owe fees or if you agreed to indemnify us, those obligations continue).

USA Convo also reserves the right to discontinue or modify any part of the service at any time (for example, we may decide to stop offering a certain feature or even shut down the website). If that happens, we will endeavor to provide notice to users, but there may be cases where we need to make changes immediately due to security or legal needs.

16. Governing Law and Disputes

These Terms are governed by the laws of the United States and, specifically, the laws of the State of Texas, without regard to its conflict of law principles. This means that if there is a dispute, Texas law will be used to interpret these Terms and resolve the issue.

Arbitration: In the event of any dispute or claim arising out of or relating to these Terms or your use of USA Convo, you and we agree to resolve it exclusively through final and binding arbitration. This arbitration will take place in the State of Texas. (If you reside outside the USA, you acknowledge that by using this U.S.-based service, you agree to resolve disputes through arbitration in Texas.) By agreeing to these Terms, you waive the right to file a lawsuit in court or have a trial by jury for such disputes, except where such a waiver is prohibited by law. Both you and USA Convo agree to split the costs of the arbitration equally (50/50).

Attempt informal resolution: Before initiating any arbitration, we ask that you contact us to discuss the issue. Most problems can be resolved through communication, and we genuinely value our users and will try to address your concerns amicably. However, if we cannot reach a solution informally, then you retain the right to proceed with arbitration as described above.

In plain language: If you have a serious disagreement or problem with us, please talk to us first so we can try to resolve it. If we can’t fix it together, you must use arbitration in Texas to settle the issue instead of going to court in front of a judge or jury. A neutral person (the arbitrator) will listen to both sides and make a final decision. We will each pay half of the arbitration fees.

17. Entire Agreement

These Terms (along with our Privacy Policy and any additional guidelines or rules posted on our site) make up the entire agreement between you and us regarding your use of USA Convo. They replace any earlier agreements or understandings between you and us.

If a court finds any part of these Terms invalid or unenforceable, the rest of the Terms will still apply. Our failure to enforce any part of these Terms in a particular situation does not waive our right to enforce it in the future.
